INVITATION TO BID - The Old High School Building, Gymnasium and Ag Shop Located In Honey Grove, Texas

The Honey Grove Independent School District {hereinafter "Seller") is
accepting firm, sealed bids for the purchase of the old High School
Building, Gymnasium and Ag Shop (metal building), located at 107 Bois D'Arc Street, Honey Grove, Texas, and being more particularly
described by metes and bounds in Exhibit "A" attached hereto (hereinafter "Property").

Proposal forms can be obtained at the Administration Office of the
Honey Grove Independent School District at 1206 N. l7th Street, Honey Grove, Texas 75446.

Delivery of Bid: All proposals shall be accepted during regular
business hours at the Administration Office, but must be received no later than 10:00 a.m. on April 30, 2009. Any bid proposals received after this time will not be considered or accepted. If mailing your proposal via the United States Postal Service, mail to the same
address. Oral, telephone, fax, or electronic mail bids are invalid and
will not receive consideration.

Effective Date: The date the bid proposal is accepted and a Commercial Earnest Money Contract is executed by Buyer and Seller that shall contain all the terms of the sale.

Inspection Period: The Buyer shall have twenty (20) days following the
Effective Date in which to conduct inspections of the Property.



Earnest Money: Buyer shall deposit the sum of One Thousand and no/100 Dollars ($1,000.00) in certified funds with Cole Title Company, 709 N. Center St., Bonham, Texas 75418, as Escrow Agent, within five(5)days from the date of the acceptance of the Bid. After the inspection period is over {20 days from the Effective Date), the Earnest Money shall be non-refundable, and if Buyer defaults on the purchase of the Property, Seller shall retain the Earnest Money.

Closing Date: The Closing date for the sale of the Property shall
occur on or before forty-five {45) days from the Effective Date
hereof.

Closing Costs: Buyer and Seller shall pay at Closing the usual and
customary closing costs and settlement charges payable by a Buyer and Seller.

Restrictions: The Property shall only be used for a non-profit
organization, and for non-commercial use. Before the Property is
transferred to Buyer, Seller shall file for record in the Fannin
County Land Records restrictions and covenants affecting the Property, restricting the use of the Property for any type of commercial purpose.

Acceptance: Seller reserves the right to accept or reject any or all
bids, and to make a selection in any manner deemed to be in the best interest of Seller.

To be effective, the Contract must be executed by Buyer and delivered to Seller within twenty-one (21) days from the acceptance of the Bid (allowing for the 20-day inspection period).
